General Terms and Condition
Type and scope of services
• Staffing levels
City Facility Services GmbH shall employ the required number of cleaning staff and inspectors for the work that is to be carried out in accordance with our schedule of services. City Facility Services GmbH shall recruit, induct and train the staff appropriately. City Facility Services GmbH is responsible for recruiting temporary staff to cover for staff who are absent due to illness, accident or holidays. All employees of City Facility Services GmbH are bound to confidentiality regarding everything of which they become aware during the course of their work for clients. Cleaning staff are forbidden from doing anything that might jeopardise this confidentiality. The client shall nominate a direct contact for the keyholder.
The optimal time for the cleaning of the various areas shall be specified by the client before the commencement of work and confirmed in writing. No cleaning work shall be carried out on statutory holidays. Such holidays are already factored in to our standard fee and do not require our monthly fee to be adjusted. Any changes leading to a reduction in expenditure must be announced by the client at least two months in advance.
• Machines / cleaning materials / consumables
City Facility Services GmbH shall provide the cleaning materials, equipment and machines required, which are included in our standard fee. Our standard fee does not include supplies of consumables such as hand soap, hand towels, toilet paper, plastic bags, sanitary bags, trash bags, etc.
• Quality control
Regular cleanliness checks shall be carried out by the keyholder or area manager(s). Records of each inspection shall be taken and kept by City Facility Services GmbH and can on request be discussed with the client.
• Completion of work
The services provided by City Facility Services GmbH shall be deemed performed according to contract and approved unless the client raises valid objections by 6pm on the following day. Confirmed deficiencies shall be rectified as quickly as possible and usually within 24 hours.
• Enticement of staff
The client and City Facility Services GmbH agree not to entice staff from each other for the duration of the contract.
• Payment terms
Invoices are submitted monthly during the course of the cleaning month, which runs from the first day of the month to and including the last day of the month. Net payment is due within 30 days of the invoice date.
Price adjustment to accommodate index changes
Prices are based on the Swiss Consumer Prices Index as at 1 January of the year in question. City Facility Services GmbH reserves the right to adjust its prices every 1 January of the following year in accordance with the index change between 1 October of the previous year and 30 September of the current year. Price adjustments are to be communicated in writing and come into force no earlier than four weeks after being communicated to the
• Duration of contract and notice of termination
The contract is concluded for an indefinite period. After one year the contract can be dissolved via registered mail subject to a notice period of six months ending on either 30 June or 31 December.
• Valued‐added tax (VAT)
Statutory VAT is not included in the standard fee. It shall always be shown separately. Any increases in the VAT rate shall be borne by the client.
• Social security contributions
If following signature of the contract there are increases in statutory payments on salaries (employer contributions, wage‐related social security payments etc.), our standard fee shall increase as follows: standard fee up until the point of the increase x increase in payments (e.g. employer contributions) as a percentage/100% x 4/5.
• Liability insurance
For civil liability towards third parties, City Facility Services GmbH has operational liability insurance against personal and material loss or damage for the sum of CHF 10,000,000 per loss or damage event.
• Amendments and special agreements
Amendments and additions to the contract must be made in writing, with the exception of any price changes based on changes to the Index or on changes to social security payments, for which a unilateral written declaration from the service provider shall suffice. In the event that one or more of the provisions of this contract shall prove to be invalid, the validity of the remaining provisions shall remain unaffected.
The jurisdiction for both parties shall be the registered head office of City Facility Services GmbH, Uraniastrasse 35 in 8001 Zurich.
